Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the ScanSkip platform ("Services"). By creating an account or using the Services, you agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you do not agree, do not use the Services.

2. Eligibility & Accounts

You must be at least 18 years old and authorised to represent your organisation (if acting as an institutional Client) to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate, current, and complete information and keep it updated.

3. Role of the Platform

ScanSkip is a marketplace and facilitator. We connect institutional Clients with freelance Trainers and provide matching, booking, verification, and review tools. We are not a party to any training agreement between a Client and a Trainer unless otherwise stated. Each Client and Trainer is solely responsible for their own commitments and the performance of any training engagement.

4. Trainer Obligations

By accepting a booking, a Trainer agrees to:

• Deliver the training as described, at the agreed schedule, mode, and quality.
• Maintain accurate profile, availability, certification, and identity information.
• Complete verification (KYC) as required by the platform.
• Respond to offers in a timely manner and communicate professionally with Clients.
• Comply with all applicable laws, and not misrepresent qualifications or credentials.

5. Client (Institutional Buyer) Obligations

By posting a training request, a Client agrees to:

• Provide accurate requirements including skill needs, dates, mode, and budget.
• Provide trainees with the environment and materials reasonably required for delivery.
• Pay trainers directly for confirmed sessions as agreed with the Trainer.
• Complete the confirmation step to activate an engagement.

6. Booking & Confirmation

Training requests are matched through the platform. An engagement is binding only after a Trainer accepts an offer and the Client completes confirmation. Both parties must use the platform's communication and confirmation flow; agreements arranged to bypass the platform are not covered by our dispute processes.

7. Fees & Products

ScanSkip offers optional paid products for Trainers, including lead unlocks, priority applications, featured listings, and a monthly pro plan. Product fees are displayed at checkout. ScanSkip does not charge a commission on training fees; training fees are settled directly between the Client and Trainer.

8. Trainer Payments & Checkout

Trainers pay for optional ScanSkip products (such as lead unlocks) through the platform's payment gateway, processed by third-party payment providers. Training fees for engagements are paid directly by the Client to the Trainer and are not processed by ScanSkip. Your use of third-party payment providers is subject to their terms.

9. Reviews & Moderation

Ratings and reviews must be honest, relevant, and based on genuine completed engagements. Reviews are moderated: content that is defamatory, abusive, fraudulent, or unrelated may be rejected or removed. Reviews reflect the opinions of reviewers and not ScanSkip.

10. Verification & KYC

Trainers may be required to submit identity, certification, and other documents for verification. A verification badge reflects the checks we performed at the time of verification and does not guarantee current status or performance quality.

11. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms.
• Post false, misleading, or infringing content.
• Attempt to interfere with, disrupt, or reverse engineer the platform.
• Harvest, scrape, or collect user data without permission.
• Circumvent payment or review processes.

12. Intellectual Property

The Services and all content provided by ScanSkip — including software, design, logos, and text — are owned by ScanSkip or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent. Content you post to your profile remains yours; you grant us a licence to host and display it in connection with the Services.

13. Disclaimer of Warranties

The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any Trainer or Client will perform as expected.

14. Limitation of Liability

To the maximum extent permitted by law, ScanSkip shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total aggregate liability shall not exceed the total fees you have paid to us in the twelve (12) months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless ScanSkip and its officers, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising out of your use of the Services, your breach of these Terms, or your violation of any law or the rights of a third party.

16. Termination

We may suspend or terminate your access to the Services if you breach these Terms or if required by law. Upon termination, you remain responsible for obligations (including payment) that accrued before termination. You may stop using the Services at any time and close your account by contacting support@scanskip.com.

17. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which ScanSkip is registered, without regard to conflict-of-law principles. Disputes arising out of these Terms shall be resolved through good-faith negotiation, then through binding arbitration or the competent courts of that jurisdiction, as determined by applicable law.

18. Changes to These Terms

We may revise these Terms from time to time. The latest version will always be posted on this page with an updated "Last updated" date. Continued use of the Services after changes take effect constitutes acceptance.
